Terms & Conditions

This User Agreement (the “User Agreement”) sets forth the terms and conditions which apply to your use of www.hyrintentionyoga.com (the “HYR Intention Website” or “Website”) (defined below). By using the HYR Intention Website, you agree to the terms and conditions of this User Agreement just as if you had signed the User Agreement. If you do not freely and fully consent to the terms and conditions contained herein, you should terminate use of the Website immediately.

HYR Intention, LLC (“Company”), reserves the right to modify or amend the User Agreement at any time without prior notice. By accessing the HYR Intention Website you signify your agreement to this User Agreement as it then exists, including modifications or amendments thereto.

Restrictions on Use

Material from the HYR Intention Website may not be used, copied, distributed, republished, uploaded, posted, or transmitted in any way, without the prior written consent of the Company.

EXCEPTIONS: Product and service sell sheets, brochures and marketing materials may be downloaded for their intended use, provided that you do not delete or change any copyright, trademark or other proprietary information or notices. Modification or use of the materials for any other purpose violates the Company's intellectual property rights.

The material on the Website is provided for lawful purposes only. If you download information from the HYR Intention Website, the information, including all files, images, contained in or generated by the information, and all accompanying data (together, the “Downloaded Information”) is deemed to be licensed to you by the Company. Neither title nor intellectual property rights are transferred to you, but remain with the Company, which owns full and complete legal title to the Downloaded Information.  You may not resell, decompile, reverse engineer, disassemble, or otherwise convert the Downloaded Information in any manner whatsoever. Further, the HYR Intention Website may not be scraped, extracted, downloaded, uploaded, sold, or offered for sale or use in any way (including for competitive purposes), without the prior written consent of the Company. To that end, and without limiting any provision in this User Agreement or associated Privacy Policy, you agree not to use, or cause to be used, any computerized or other manual or automated program or mechanism, tool, or process, including any offline reader, site search/retrieval application, scraper, spider, or robot, to access, extract, download, scrape, data mine, display, transmit, or publish, any materials, data, or information (including pricing information) on the HYR Intention Website for any purpose, including for purposes of selling, offering to sell, or otherwise making available such materials, data, or information. If you violate any of these terms or circumvent (or attempt to circumvent) any security or technological measures on the Website, your limited license to use the HYR Intention Website, Downloaded Information and related content automatically terminates.

It is a condition of your use of the HYR Intention Website that you do not:

1. restrict or inhibit any other user from using and enjoying the Website;

2. post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane, or indecent information of any kind, including without limitation, any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, nation, or international law;

3. post or transmit comments containing harassing or offensive language;

4. post or transmit any information, software, or other material which is an invasion of privacy or publicity rights or which is protected copyright, trademark or other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or right holder;

5. post or transmit any information, software or other material which contains a virus or other harmful component;

6. post or transmit content that encourages or provides instructional activities about illegal activities;

7. post, transmit, or in any way exploit any information, software, or other material for commercial purposes or which contains advertising;

8. solicit other users to join, become members of, or contribute money to any online service or organization, advocate or attempt to get users to join in legal or illegal schemes or plan or participate in scams involving other users; and/or

9. impersonate any person or entity or falsely state or otherwise misrepresent your professional or other affiliation with any person or entity.

This list is provided for example only, and should not be considered a complete list of the unacceptable behaviors on/or uses of the Company Websites. By accessing the Company Websites, you agree to comply with all local rules regarding online conduct and acceptable content.

Products and Services

Third Party Products/Services: The HYR Intention Website may contain links to other websites. The Company provides such links for your convenience only and is not responsible for the content of any website linked to or from the Website.  Links from the HYR Intention Website to any other website do not mean that the Company approves of, endorses, or recommends the linked website. HYR Intention, LLC disclaims all warranties, express or implied, as to the accuracy, legality, reliability, or validity of any content on any other website. The Company specifically disclaims any responsibility if such sites: (i) infringe any third party’s intellectual property rights; (ii) are inaccurate, incomplete, or misleading; (iii) are not merchantable or fit for a particular purpose; (iv) do not provide adequate security; (v) contain viruses or other items of a destructive nature; or (vi) are libelous or defamatory.

The products and services on the HYR Intention Website may not be available for purchase and/or use in your particular state, country or locality. The reference to such products and services on the Website does not imply or warrant that these products or services will be available at any time in your particular location. The Company reserves the right to change its prices and billing methods for products sold and services offered, at any time, effective immediately upon posting on the Website.

Information Errors: HYR Intention, LLC shall have the right to refuse or cancel any orders placed for products and/or services listed at an incorrect price, rebate or refund, or containing any other incorrect information or typographical errors.  The Company does not warrant that product descriptions or other content is accurate, complete, reliable, current, or error-free.  If a product offered by the Company is not as described, your sole remedy is to return it in unused condition.  The Company shall have the right to refuse, limit, or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, the Company shall immediately issue a credit to your credit card.   

Limitation of Liability

The Company makes no guarantee of the availability of the HYR Intention Website and reserves the right to change, withdraw, suspend, or discontinue any functionality or feature of the Website at any time.

IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING OUT OF THE USE OF OR INABILITY TO USE THE HYR INTENTION WEBSITE OR ANY CONTENT THEREON FOR ANY REASON INCLUDING, WITHOUT LIMITATION, THE COMPANY'S REMOVAL OR DELETION OF ANY MATERIALS OR RECORDS SUBMITTED OR POSTED ON THE WEBSITE FOR ANY REASON. THIS DISCLAIMER APPLIES, WITHOUT LIMITATION, TO ANY DAMAGES OR INJURY, WHETHER FOR BREACH OF CONTRACT, TORT, OR OTHERWISE, CAUSED; ANY FAILURE OF PERFORMANCE; ERROR; OMISSION; INTERRUPTION; DELETION; DEFECT; DELAY IN OPERATION OR TRANSMISSION; COMPUTER VIRUS; FILE CORRUPTION; COMMUNICATION-LINE FAILURE; NETWORK OR SYSTEM OUTAGE; OR THEFT, DESTRUCTION, UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF ANY RECORD. NOTWITHSTANDING THE FOREGOING, YOUR AGGREGATE DAMAGES SHALL NOT IN ANY EVENT EXCEED THE LESSER OF (A) THE AGGREGATE AMOUNT YOU PAID TO COMPANY DURING THE IMMEDIATELY-PRECEDING 12 MONTH PERIOD AND (B) A TOTAL OF FIVE HUNDRED AND NO/100 DOLLARS ($500.00).

You agree to defend, indemnify and hold harmless the Company, its affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorney’s fees) arising out of or related to (i) any material posted or otherwise provided by you that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (ii) your use of the HYR Intention Website, including any intentional or unintentional error, mistake, or misrepresentation made by you in connection with your use of the Website, (iii) any non-compliance or violation by you with the terms and conditions of this User Agreement, or (v) any claims brought by persons or entities arising from or related to your access and use of the Website, including information obtained through any offered services, sell sheets or brochures.

Disclaimer

Any use you make of THE HYR INTENTION WEBSITE, or any site or service linked to by THE COMPANY WEBSITES, is done so at your own risk. All information contained herein is provided “as is” AND “AS AVAILABLE” WITHOUT ANY EXPRESS, IMPLIED OR STATUTORY WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, OR FITNESS FOR ANY PARTICULAR PURPOSE. 

The information provided on the Website is free of charge and for informational purposes only and does not create any relationship between you and the Company or any of its officers, shareholders, owners, employees, affiliates, or representatives. Access to product information does not create a relationship of any kind.

THE COMPANY DOES NOT WARRANT THAT THE HYR INTENTION WEBSITE, ANY SOFTWARE OR OTHER DOWNLOADS, MATERIALS, OR CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 

Trademarks and Other Proprietary Information

All trademarks and trade names, including but not limited to HYR IntentionTM, which are used on the HYR Intention Website are owned by the Company or our affiliated companies. The copying, redistribution, use or publication by you of any of our marks, except as expressly agreed to in writing by the Company, is strictly prohibited.

Products advertised on the Website may be protected by patents and/or trade dress registrations.  Nothing herein shall be deemed to grant any user the right, title or interest in or to any such patent or trade dress registration, nor shall any user have the right to use or exploit any such patent or trade dress registration.

All remarks, suggestions, ideas, graphics, or other information communicated to the Company through the Website or in any other forum (together, the “Submissions”) will forever be the property of HYR Intention, LLC. The Company will not be required to treat the Submissions as confidential, except for that information given protection under the Company’s Privacy Policy and will not incur any liability as a result of any similarities in future Company operations. Without limitation, HYR Intention, LLC will have exclusive ownership of all present and future existing rights to the Submission of every kind and nature everywhere, and may use any Submission in any way the Company chooses without compensation or acknowledgment of its source, except as otherwise restricted by applicable law.

Termination

The Company or you may terminate this agreement at any time. You may terminate this agreement by destroying: (i) all materials obtained from all Company Websites, and (ii) all related documentation, copies and installations. The Company may terminate this agreement immediately without notice if, in its sole discretion, you breach any term or condition of this agreement. Upon termination, you must destroy all materials in any way related to or taken from the Website. The Company shall also have the right to take any and all legal action it deems appropriate for a violation or threatened violation of this User Agreement. You agree that monetary damages may be an insufficient remedy and that the Company may also seek injunctive or other relief for a violation or threatened violation of this User Agreement.    

Termination shall not relieve you of your continuing obligations under this User Agreement.

Risk of Loss

Any items purchased from or through the HYR Intention Website are made pursuant to a shipment contract, which means that the risk of loss and title for such items pass to you upon the Company's delivery of the item to the carrier, unless otherwise agreed to by the Company in writing.

Miscellaneous

The formation, construction and interpretation of this User Agreement shall be controlled by the laws of the Commonwealth of Virginia, exclusive of its conflict of law provisions. The headings used in this User Agreement are for convenience and reference purposes only and shall not be used in construing or interpreting the scope or intent of this User Agreement or any provision hereof. If any part of this User Agreement is determined by a court of competent jurisdiction to be unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. No waiver of any of this User Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Possible evidence of use of the Company Websites for illegal purposes will be provided to law enforcement authorities. This User Agreement, along with the Privacy Policy, is the entire agreement between the parties relating to the use of the HYR Intention Website.
